OpenAI states that it will eventually split into two: a Public Benefit Corporation (PBC) and a non-profit arm.
Why OpenAI is Moving into PBC from Nonprofit: OpenAI’s current structure for-profit arm is run by a non-profit board-has been scrutinized and challenged, and the last straw came with the controversial sacking and reinstatement of CEO Sam Altman in 2023. The current structure constrains scoping for huge investments since the board cannot directly prioritize investors’ financial interests.
So, OpenAI plans to convert its for-profit unit into a Public Benefit Corporation. Unlike traditional corporations, PBCs have legal freedom which permits them to make decisions that are not directed at maximizing the profit for shareholders only, but also for a larger society. In this case, the non-profit will hold shares in the PBC for oversee but have an avenue for the profit-seeking unit to pull in serious investment.

Balancing Public Benefits and Investor Interests OpenAI argues that this change will allow it to “bring in more capital than we ever thought possible,” with this phase of AI development requiring millions of dollars. The new structure also allows OpenAI employees and members, including CEO Sam Altman, to be shareholders with the potential for increased individualized incentives for innovation.
This means some people, like Elon Musk, have complained about this reform, assuming that OpenAI has shifted from its original aim of staying a non-profit. OpenAI countered this by saying that the new framework will strengthen its charitable initiatives. This non-profit arm will leverage resources from the for-profit entity and the outcome it expects is support in areas such as healthcare, education, and scientific research. According to OpenAI, this structure will lead to potentially the best-resourced non-profit in history.
